I generally prefer ME2's inventory and equipment management. The ME1 system was too tedious.
If I had my way, though, I would put a few tweaks into the ME2 system. Make modding guns more like modding armor rather than a power, maybe make a few guns available for purchase, and allow the ability to mod guns/armor for other squadmates (maybe set it up so that right before a mission, after you have selected your ground team, you have the option to mod your mission team's guns/armor using the limited number of mods you have purchased or picked up).
However, I wouldn't want the same variety of guns and mods as in ME 1, nor would I want the same inventory system. It was too overwhelming, there were too many types of guns that were either worthless to use or only marginally different from the other types, and spending time after each mission "managing" the weapons and armor setup of each squadmate got to be annoying. Also, I think it makes more sense to only be able to mod a weapon or change your armor setup on the ship.
I will say, however, that I greatly prefer ME1 in terms of story telling and mission design. What I would like is a slightly tweaked (in the way I described) ME2 guns/armor/gameplay system, with story telling, between mission squad interaction, and mission design that is similar to ME1.
EDIT: Thinking about it, it might make more sense to allow the team to bring along a certain number of ammo mods, so that they can be switched during the mission. For other weapons mods, though, it might make more sense if you have to choose before you leave the ship.
