I have had to buy a new xbox and hav to download all the DLC etc.. again. Does anyone know id I can re-use my cerberus netwrk code I got with the Mass Effect 2 game on my new console ?

All DLC (including Cerberus Network) is tied to your account. You should be able to download it all again without any problems.

As long as you use the same gamertag then cerberus network and all DLC will work fine.
If you want to play ME2 while not connected to the internet though you will have to use the DRM tool on www.xbox.com/drm
