WHEN I TRY TO LAUNCH THE GAME I GET AN ERROR WINDOW THAT SAYS "ERROR INITIALIZING PHYSX". i DOWNLOADED AND INSTALLED THE LATEST VERSION FROM NVIDIA, BUT STILL THE SAME PROBLEM.

Do you have an Intel card or a cheap/old video card??
And learn to type in something other than all caps, it is considered "yelling" on the internet to type that way. And it is a bit annoying to read.

Sorry about the caps. I have a XFX (ati/amd chip set) radeon HD 4000 series AGP card (1G video memory), 1.5G RAM, AMD Athlon XP 3000+ processor. According to the game box, this should work.

The Athlon XP doesn't offer SSE2 functionality, which all versions of PhysX starting about with the one that came with the game now require.

Incidentally, someone posted a claim at Bethesda's forums saying that he got Skyrim running using an Athlon XP 2800.

If I buy an nvidia card, will the physx run on the GPU instead of the CPU and solve the problem, or does the CPU need to be SSE2 regardless?

I believe that possibility has already been tested and made no difference. There have been other Athlon XP owners wanting to keep their oldies going before you arrived. Do some searches using either Google or Yahoo.
