From what I can tell, the actual geometry of the faces from 2 to 3 are the same. The problems are texture and lighting:
First the face texure is very low quality and lacks the detail that ME2 texures did, it also has almost no specularity which makes it look very flat/matte. That lack of any "shine" combined with less makeup make the eyes look like they are flat on the face, and not set in at all (even though if you turn the head to the side you can see they are). To compound this, the shadows seem to be softer which makes the face look flatter still. The eyelashes also seem to be sparcer... adding to the "the eyes look different" feel.
The colors also changed some. Hair and brows got some new colors which is going to throw the code off a bit (that shouldn't be too hard to fix though). All they eye textures seem to be lighter, which bugs me. My ME2 character had dark brown eyes, which look light brown in ME3 (so I switched to the all black eyes to get that dark dark brown look I had before). I also had to make my skin tone one shade darker because it seems they lightened the skin up too.
In the end my character looks the "same" just a little less life like.

And seeing all those mods and efforts for HD texture packs, I wonder why nobody tried to convert the old ME2 textures to ME3...
I tried already myself but I´m not familiar with the Unreal engine and its compression formats and all that stuff...
The one thing I managed to do, is to swap the default custom skin of my femshep, with the skin texture of ME3´s default femshep and I can tell you that textures like the iris and the skin can change the whole "feeling" of the very same headmodel!
