Remember NWN2 - where someone at WotC or Hasbro or whereever decreed that the characters must look as ugly as sin because that's how they "envisioned" them to be?
I don't mind DnD as a system at all, but if I were Bioware I would prefer NOT to have some weirdo tell me that elves have to be ugly or all the other bs that comes with being reliant on outside good will, too. The DA system is at good enough and leaves even more room to be expanded.

INAL, but I think they _could_ use the D20 rules, since I believe they are free to use - but they cannot use any material from the DnD campaign books, i.e. the Forgotten Realms setting as such. Which is not a big loss, IMHO, but they might feel a DnD game without a DnD setting might not be marketable well.
