Never had a single hic up with the game, then suddenly crashes.
Uninstalled, restarted PC, new install and still crashes...

The "c00000fd" error is caused by a stack overflow. You may want to see if your C++ libraries are up to date. It looks like you are using Windows 7. Do you get updates for other MS products? Have you ever updated your DirectX with the dxwebsetup command.
You may want to also run a memory test like memtest86+.

Ok, i think i solved it.
Basically, i got Saints Row: The Third and Just Cause 2 from steam yesterday (summer sale). Since those are older games, and being steam, it installs the included DX and VC files. It may have over written them with older versions.
Basically, i reinstalled the DX and VC files from the ME3 installer, and 2-3 games and no crashes.
