So 5 days now *twitch*  my 360 drive failed horribly and left me with nothing but a hard-drive.   Coming up in a few days I'll be buying an elite.. Will I have any problems getting into the Online MP  or do I need to find a way to transfer everything off my old hard-drive/ 

Do I need a new online pass?    Anything of concern or is it tied to my profile, instead of a specific console?

I think that if you can transfer your license you shouldn't have any problems.

Online passes are tagged to your games tag. When you download yours the passes should come with it as they like your guns equipment etc are also stored on e a servers. I discovered this recently after having to format my machine as result of problem with this game

Since you still have your HDD you shouldn't need to redownload, though that would depend on whether your still working HDD is compatible with the replacement 360 you're going to get.

As mentioned above you'll need to perform the content license transfer, recover your Gamertag as well (after connecting to XBox Live to prevent loss of achievement data), and 'redownload' your dlcs (just so it registers with the console and various systems).
