I failed Zaeed's loyalty quest....is it still possible to finish the last minish with everyone surviving? I really do not wan't Tali,Garrus or Jack to die lol.

Yes it is easily done. I purposely saved his loyalty mission once until after the SM so I could leave him to die at the refinery. Just have Grunt and Garrus as part of the HTL team.

Check the Suicide Mission Guide thread for point totals for each team mate. You may even be able to bring either Grunt or Garrus with you to face the reaper (though not both, I am sure).

It is easy to do. I recruited all 12 members with 4 not loyal with no fatalties on the suicide mission. Just don't have those members do anything important(vent, escort crew or take them to fight the human reaper)

But when I import to ME 3 will it count my decisions from my first playthrough of ME 2 or my last playthrough if I use the same character?

It will use whatever decisions you made from the playthrough you decided to import.
