Well at least I fixed my problem hope this helps someone else.

I read through most of that huge post about everyone having the same issue with movie files, multi core etc...  And after a few failed attempts and BSODs I found a solution to my problem.

Problem is you may have a dual/multi core processor but XP/OS is not reading as such because you either upgraded CPU or while loading OS it screwed up and just stayed single.

here we go, I have XP SP3 btw.

1. Copy halmacpi.dll (search your C:\\ drive for this) to C:\\Windows\\system32
2. Copy ntkrnlmp.exe(search your C:\\ drive for this) to C:\\Windows\\system32
3: Remove the read only flag from c:\\boot.ini (right click on file and remove check box)
4. Copy boot.ini and put is somewhere safe (just in case)
5 . edit boot.ini and copy this line to bottom of  [operating systems]

multi(0)disk(0)rdisk(0)partition(1)\\WINDOWS="Microsoft Windows XP Professional Multi-Processor" /noexecute=optin /fastdetect /HAL=halmacpi.dll /kernel=ntkrnlmp.exe

just make sure your multi(x)disk(y) etc.. matches with the line you already have in there.  For mine my partition was actually (2)

6. save boot.ini file
7. reboot

now should have 2 options to boot , your original, and new one "Microsoft Windows XP Professional Multi-Processor", choose new one and now you should be able to see 2 cores in task manager.

now sit back and run game and watch video no problems.
