If I spend the resources on getting all the ship upgrades now in my first playthrough will those be transfered over to the second playthrough?  Will my relationships be transferred as well?

Also, what kind of new stuff do i get for playing through a second time I heard there are bonuses that come along with it.

Oh and one more thing.  Will I be able to import my second play through shepard into ME3, or is that reserved solely for the first playthrough guy.

id wager no. if its like the first ME, it just all the gear, skills and cash from your first playthrough that get xfered over to the second playthrough.

ship upgrades are part of how you determine your storyline so I wager no, it would be like you starting off with all your squad at full loyalty.

The only thing I got was the achievements gave me access to an additional power, bonus 50k for each resource, a big chunk of credits, and +25% to party XP. Upgrades and character relations didn't seem to transfer.

As in a previous thread I commented on, no.

Your armor, weapons and skills transfer over, nothing else does. Weapons that you researched from the first playthrough DO transfer over, so if you went to the trouble to grab the nuke, the game should be easy =)
